The terms on which BJF Trading Group Inc. sells and delivers its software.
These Terms of Sale govern your purchase of software and services from BJF Trading Group Inc. (“BJF”, “we”, “us”), an Ontario corporation. They apply together with:
Where these Terms of Sale conflict with the End User License Agreement in respect of your use of the software, the End User License Agreement prevails.
BJF Trading Group Inc. develops and licenses algorithmic and high-frequency trading software.
BJF is not a broker, dealer, financial institution, investment adviser or portfolio manager. We do not execute trades, manage accounts, hold client funds, or provide investment, financial, tax or legal advice. Our products are software tools for traders who make their own decisions.
Nothing on our website, in our documentation, in example settings or presets, or in any support communication is financial advice, an investment recommendation, or an offer to buy or sell any financial instrument.
2.1 Product listings on our website are an invitation to treat, not an offer.
2.2 Your order is an offer to purchase. A contract is formed when we send you an order confirmation or make the software or license key available to you, whichever happens first.
2.3 We may decline any order, including where the product is unsuitable for your platform, where we cannot verify your details, where eligibility under Section 3 is not met, or where a previous order from you was subject to a chargeback.
2.4 At checkout you will be asked to confirm that you have read and accept these Terms of Sale, the End User License Agreement and the Privacy Policy. We record that acceptance, the date and time, and the version of each document accepted, and we include those version numbers in your order confirmation.
2.5 We encourage you to use the free trial described in Section 6 before placing an order. Purchases are final, so the trial is the point at which to satisfy yourself that a product is right for you.
3.1 You must have reached the age of majority where you live and be legally able to enter into a contract.
3.2 We do not accept customers who are resident in, or purchasing from, the following jurisdictions:

3.3 You confirm that you are not a person designated on any sanctions list administered by Canada, the United States, the United Kingdom or the European Union, and that you are not acting on behalf of such a person.
3.4 If we discover that an order breaches this Section 3, we may cancel it, revoke the license key and refund the purchase price, and we are not liable for any loss arising from that cancellation.
4.1 Prices are stated in US dollars (USD) on the product page and exclude any taxes or duties payable in your country unless stated otherwise.
4.2 You are responsible for any import duty, VAT, GST, withholding or similar charge imposed where you are located, and for any currency conversion cost or fee charged by your bank or card issuer.
4.3 Payment is taken in full at the time of order unless a subscription or instalment arrangement is stated on the product page.
4.4 We use third-party payment processors. We do not receive or store your full card number. Your payment is also subject to the processor’s own terms.
4.5 Where a subscription is purchased, it renews automatically at the stated interval until cancelled. You may cancel at any time before the next renewal date, and cancellation takes effect at the end of the current period. We do not refund the current period.
5.1 Software is delivered electronically. There is no physical shipment.
5.2 After payment is confirmed we make the download and the license key available in your account area and by email, normally within 24 hours of payment being confirmed. Where a purchase requires manual configuration or a bespoke build, we will state the expected delivery time on the product page or in writing.
5.3 The software requires online activation and periodic license verification. Section 7 of the End User License Agreement describes this and the data involved.
5.4 You are responsible for checking the stated system requirements, platform compatibility and broker compatibility before purchasing. The free trial in Section 6 exists so that you can verify this at no cost. Where you are unsure, contact us before you buy — we will tell you honestly whether the product suits your setup.
5.5 It is a condition of use that you test the software on a demonstration account before running it on a live account, and again after any update, configuration change, broker change or server change. See Section 9 of the End User License Agreement.
We offer a free 15-day trial of our software. The trial exists so that you can decide whether a product is right for you before any money changes hands.
During the trial you can confirm that the software installs on your system, works with your broker and trading platform, behaves the way you expect, and suits your strategy. We recommend running it on a demonstration account throughout, as required by Section 5.5.
If a product is not right for you, do not buy it. If you are unsure whether the trial has told you what you need to know, contact us before purchasing and we will help — including extending the trial where that is reasonable.
Because a free trial is available, purchases are final and we do not give refunds.
This applies to dissatisfaction with trading results, to a change of mind, and to incompatibility with your broker, platform, hardware or hosting that the trial period was there to reveal. No profit is promised by any product and none should be inferred.
This is a deliberate policy, and the trial is what makes it fair: you get unrestricted time to evaluate the product at no cost and no risk, and in exchange the sale is final once you decide to buy.
If you are a consumer in the European Union or the United Kingdom, you normally have fourteen days to withdraw from a distance purchase without giving a reason.
Because our software is digital content supplied immediately, at checkout you are asked to request immediate access and to acknowledge that your right of withdrawal ends once download or activation begins. If you give that acknowledgement and we then supply the software, the fourteen-day right no longer applies and Section 6.2 governs.
If you would rather keep your withdrawal right, do not give that acknowledgement and do not download or activate the software — use the free trial instead, which costs nothing and gives you longer to decide.
Sections 6.2 and 6.3 do not exclude or limit any right you have under mandatory law where you live that cannot lawfully be excluded. In particular, where a product does not conform to its description, you may have a statutory right to a repair, replacement or refund regardless of our policy. Contact us and we will deal with it.
Custom development work is not refundable once work has begun, except where we have failed to implement the approved written specification. Section 16 of the End User License Agreement applies.
If you have a problem, contact us first. Initiating a chargeback or payment dispute without first contacting us and allowing a reasonable opportunity to resolve the matter is a material breach, and we may revoke your license keys immediately and decline future orders. We keep records of the trial, purchase, delivery, activation and support contacts and will provide them to the payment processor.
7.1 We provide technical support for installation and operation of the software for twelve (12) months from purchase, through the channels published on our website. Support may be renewed for further periods on the terms published at the time of renewal.
7.2 Support does not cover trading advice, strategy selection, tuning parameters for profitability, choosing a broker, or third-party software we did not supply.
7.3 We issue updates at our discretion. We are not obliged to maintain compatibility with future versions of any third-party trading platform, broker technology or operating system.
7.4 Providing support or an update is not an admission that anything was defective and does not extend any warranty.
8.1 Bespoke development, modification and integration work is governed by Section 16 of the End User License Agreement together with the written specification agreed between us, and by any separate written terms we agree for a particular project.
8.2 We implement what the approved written specification says. You are responsible for the correctness and completeness of that specification, including conditions, sign conventions, rounding rules and edge cases. Where a requirement is not stated in the specification, it is not part of the work.
8.3 Before we start, we will restate your requirement as a written specification and ask you to approve it. Work begins only after that approval, and the approved specification is attached to your order confirmation.
8.4 Custom development is sold to businesses and professional users, not to consumers.
9.1 You are solely responsible for confirming that your broker or trading platform permits the use of our software and the strategies it employs. Brokers apply differing policies to arbitrage, high-frequency, news-based and other strategies.
9.2 You must read and comply with your broker’s terms. Failure to do so may result in requoting, execution restrictions, profit reversal, account suspension or closure.
9.3 We are not liable for any action a broker or trading venue takes against you, or for any loss arising from your non-compliance with a broker’s policies. This is not a defect in the software and is not a ground for refund.
Software is licensed, not sold. All intellectual property in our products remains with BJF and its licensors. Your rights are set out in the End User License Agreement. Third-party components included in our software are listed, with their required notices, in the file THIRD-PARTY-NOTICES.txt supplied with the software.
11.1 Our liability to you is limited as set out in Sections 11, 12 and 13 of the End User License Agreement, which apply to purchases under these Terms of Sale as if set out here in full.
11.2 In summary, and without limiting those sections: we are not liable for trading losses, lost profit or lost opportunity; our total liability is capped at the amount you paid us; and claims must be brought within twelve months.
11.3 Nothing excludes liability for fraud or any liability that cannot lawfully be excluded.
We may change these Terms of Sale. The version in force at the time of your order governs that order. Changes apply to future orders, renewals and updates. Each version is published with a version number and effective date, and superseded versions remain available on our website.
13.1 These Terms of Sale are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.
13.2 Disputes are resolved as set out in Section 20 of the End User License Agreement: written notice and thirty days of good-faith negotiation, then binding arbitration in Toronto, Ontario, with an exception for small claims and an exception permitting BJF to seek injunctive relief in any court in intellectual property and anti-circumvention matters.
13.3 If you are a consumer, nothing in Section 13 deprives you of any right to bring proceedings where you live, or of any other protection conferred by mandatory consumer law that cannot lawfully be excluded.
